Values and principles of the Club
General Principles and Procedures
Duty of Loyalty
All Board Members, affiliates, employees, and volunteers are to carry out the mission of
Brandon Caribbean American Cultural Association Inc., which going forward will be
referred to as BCACA INC, with honesty and integrity, avoiding actual or apparent
conflicts of interest in professional, business, and personal relationships.
In case there are conflicts between the interests of the individual and those of BCACA INC,
the greater good of BCACA INC., and the public it serves must prevail. Furthermore, Board
Members, affiliates, employees, and volunteers must not engage in activities that might
erode public trust in the organization or its work.
Duty of Care
All Board Members, affiliates, employees, and volunteers are expected to maintain
confidentiality, to act in good faith, responsibly, with due care, competence, and diligence,
without allowing one’s judgment to be affected by personal or outside interests.
It is the duty of all to use responsibly, and maintain control over, all assets and resources,
including human resources, employed by or entrusted to BCACA INC.
“BCACA INC” is a social club with several objectives, all of which are based on the
intention of stimulating the intellectual and creative curiosity of its members from all
social, economic, and cultural backgrounds.
BCACA INC. is committed to several values and principles that guide its actions and
which are set forth in this Code of Ethics.
Each member of the Club undertakes to respect these fundamental principles, otherwise,
his or her application will be refused, or membership revoked.
I. Respect & tolerance
Each member shall treat others with respect when interacting with other members or
Club visitors.
This includes interacting with others with consideration for their opinions, culture, values,
social position, gender, and age.
 
ll. Honesty, Integrity & Compliance
BCACA INC. will act with honesty and integrity.

Members will be provided with accurate, complete, objective, relevant, timely, and
understandable information.
BCACA Inc. will comply with the rules and regulations of federal, state, and local
governments, and other appropriate private and public regulatory agencies.
BCACA Inc. will act in good faith, responsibly, with due care, competence and diligence,
without misrepresenting material facts.
BCACA Inc. will protect and respect the confidentiality of information.
IIl. Prohibition of discrimination
Discrimination based on religious, ethnic, cultural, sexual orientation, disability, gender,
social origin, language, political beliefs, age, or membership of a particular group is strictly
and formally prohibited within the Club.
IV. Open-mindedness and humanism
BCACA INC. puts human development and respect for human dignity at the very core of
its activities. In this respect, each member of the Club shall demonstrate open-
mindedness, i.e., tolerance, curiosity, and understanding for ideas that differ in whole or in
part from his or her own.
V. Environmental Commitment
The central concern of human environmental responsibility is an essential and
fundamental subject for the Club.
BCACA INC., therefore, asks its members, on the one hand, to respect the measures put in
place to improve and perfect its ecological impact but are also economically viable and
socially just. We strive for dignity as well as honesty and expect the same from all our
members and associates.
Vl. Revocation and termination of membership
1. Membership may be revoked at any time by the Screening Board for good cause.
(Examples of causes will be given separately)
2. The Club ensures that it promotes certain values and principles that underlie its actions
and constitute the basis on which the Club sets its standard of excellence. Behavior that
does not conform to these fundamental principles may undermine the Club’s integrity and
its members. When such behavior occurs, membership may be revoked for the just cause
which includes, but is not limited to:
     Failure to comply with the Club’s Ethical Charter.
     Conviction for a misdemeanor or felony.
     Non-payment of the monthly dues
     Constant use of indecent language/s 
     Constant disrespect of members
     Stealing or misuse of club funds or equipment/merchandise
     Vandalizing club premises
     Indecent conduct of club members
     Sexual Harassment
     Abuse: Verbal or Physical

2. The revocation is notified to the person concerned by e-mail, verbally or in writing, and
takes effect on the date of sending.
3. Decisions to revoke a membership are absolute and do not need to be justified in any way.
The pro rata membership fee paid in advance by the excluded member shall be
reimbursed immediately upon notification of the exclusion.
4. A member may at any time terminate his membership by electronic means with a 30-day
notice. The proportion of the membership fee paid in advance by the resigning member

shall be reimbursed at the end of the notice period., or within 30 days after the resignation
effective date.
Dress code
1. BCACA INC. does not impose any specific dress code. However, BCACA INC.
assumes that all its members dress in a manner appropriate to their environment.
One can be asked to leave if such is not carried out and becomes offensive to
members. 
 
Board Members and Affiliates
The Board of Directors is ultimately responsible for ensuring that BCACA INC. fulfills its
mission and public trust duties. Given the vital nature of this role, the Board recognizes the
importance of fulfilling its duty of loyalty and duty of care, both as a whole and
individually; in avoiding any conflicts of interest, whether actual, potential, or perceived;
and working in the best interests of BCACA INC, the members and the public it serves. It is
incumbent upon the governing body to ensure that any bylaws and activities of BCACA
INC’s affiliate groups are consistent with the mission, bylaws, and codes of behavior of
BCACA INC. and that all affiliates, including its governing body (Board of Directors and
Executive Members), abide by the mission, bylaws, and codes of behavior of the Club.
Board Members and affiliates shall not seek staff assistance for personal benefit. In
addition, Board Members and affiliates shall not ask to use BCACA INC. property on terms
more favorable than that available to a member of the general public in similar
circumstances or with similar needs.
 
Whistleblower Policy
BCACA INC. maintains a Whistleblower Policy, which says, in part, that any individual with
concerns or complaints relating to practices covered by this policy should report them
directly to any member of the Board of Governors.
When the individual who submits a complaint identifies him or herself, receipt of the
complaint will be acknowledged.
BCACA INC. encourages ethical practices at all levels of its operations and prohibits
retaliation against any individual who submits a complaint in good faith. However,
disciplinary action will be taken against individuals who provide the information they
know to be false or deliberately misleading.
 
Confidentiality of Privileged Information

Confidentiality of privileged information shall be maintained at all times. Board Members,
affiliates, employees, and volunteers are responsible and accountable for the integrity
and protection of BCACA INC proprietary information and must take steps to protect
information that has been entrusted to them.
Confidential information includes but is not limited to personnel data, donor lists and
information, member lists, members information, financial data, plans, and all other
information in the possession of BCACA INC that has not been published or disclosed to
the general public. Board Members, affiliates, employees, and volunteers shall not use
confidential information received while serving BCACA INC for any personal, business, or
financial reward. Any discussion of BCACA INC activity should be conducted so as to
preserve the positive reputation of BCACA INC.  (Immediate Termination results in the
event of failure to comply)
The Board of Governors reserves the right to amend the Code of Ethics whenever
necessary.
